Our client, a top leading Mortgage Bank in Nigeria is looking to hire experienced candidate to fill the vacant position below:

Job Purpose

The successful candidate will have the responsibility of supervising the daily activities of the Legal Department and the Company Secretariat. S/he will also render technical secretarial services to all the Board Committees as well as ensuring compliance with appropriate statutory and regulatory requirements.

Reporting Line:

The successful candidate will report directly to the MD/CEO

Candidate must possess a degree in Law from a recognized University and must have been called to the Nigerian Bar. Possession of LL.M or MBA will be an added advantage. Candidate must possess a minimum of 9years post qualification experience (4 out of which should be in the financial services/realty industry) with at least 3years at Management Level.

Primary Responsibilities

Legal Advisory, Regulatory Compliance and Secretariat Management.
Conducting extensive due diligence on transactions
Providing Legal Opinion on Transactions, Investments, Refinancing and other secondary market operations.
Supervising perfection of instruments and debt recovery.
Appraisal of credits/title and provision of solution/transactional advice on procedures in the multiple jurisdictions of the Nigerian market in line with the extant land administration regime.
Drafting and Reviewing of Legal Agreements (Mortgage, Debenture, Loan Agreement, syndicated Agreement, Sale Agreement, Deed of Assignment, Power of Attorney, Transactional Agreement, Indemnities, Memorandum of Understanding, Service Level Agreement, Bonds and Guarantees).
Conducting Legal Research and updating Management with new developments in the legislative and regulatory environments.
Management of Litigation Portfolio and External Solicitors across multiple jurisdictions.
Taking, preparing and pasting of minutes of meetings. Circulating notice of meetings and resolutions.
Evaluating Legal Precedents and Statutes to determine rights, obligations and liabilities of the Bank.
Partnering with Business Development Teams in achieving transactional goals by ensuring that legal and commercial risks are identified and managed effectively through robust contracting and legal risk management, and by delivering clear and practical strategies and solutions.
Advising on and managing risk in relation to consumer protection and requests from Financial Crimes Enforcement Agencies including relevant regulatory assessment requirements and managing relationships with external bodies.
Advising the Management/Board on Corporate Governance and anticipated legal risks.
Other tasks and responsibilities as may be assigned by the MD/CEO.
